Subscription Terms

DRAFT. These terms are published for transparency while they complete solicitor review. Enterprise and invoiced deals are papered on a signed Order Form which takes precedence over this page.

1. Licence

CE grants the Customer a non-exclusive, non-transferable right for its named users (up to the subscribed seats) to access and use the Service and its outputs for the Customer's own internal business purposes during the subscription term. The Customer must not resell, sublicense, or provide the Service to third parties, or reverse-engineer it.

2. Nature of the outputs — reliance disclaimer

The Service produces forecasts and projections, not advice. Outputs are model estimates carrying the methodological caveats disclosed in-product and in CE's validation materials (including the published held-out backtest results). They are not investment, financial, legal, tax, or engineering advice, and must not be the sole basis for any financing, investment, or operational decision. The Customer is solely responsible for its own decisions and for independently verifying any output it relies on. CE does not warrant that forecasts will match realised outcomes.

3. Warranties & disclaimer

CE will provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided "AS IS" and CE disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and accuracy or completeness of outputs, to the fullest extent permitted by law.

4. Limitation of liability

Nothing limits liability for death or personal injury caused by negligence, fraud, or anything that cannot lawfully be excluded. Subject to that: (a) CE is not liable for any indirect, consequential, special, or incidental loss, or for loss of profit, revenue, anticipated savings, business, or goodwill, or for any decision made or not made in reliance on the outputs; and (b) CE's total aggregate liability arising out of or in connection with the subscription is capped at the total fees paid by the Customer in the 12 months preceding the event giving rise to the claim.

5. Intellectual property

CE solely owns all IP in the Service, models, methodology, and the CE GB BESS Index, free of any third-party licence or encumbrance, and warrants it is entitled to grant the rights in §1. The Customer owns its own input data and the specific reports it generates, and may use those reports internally (Desk and Enterprise plans may cite the CE Index in their own financial documentation with attribution). CE will defend and indemnify the Customer against third-party claims that the Customer's permitted use of the Service infringes that third party's IP rights, subject to the cap in §4 and prompt notice / sole control of the defence.

6. Data protection

Each party will comply with UK GDPR / the Data Protection Act 2018. CE processes limited personal data (named-user email, organisation, run history) to deliver the Service — see the Privacy Policy. Where CE acts as processor, the parties will enter CE's Data Processing Addendum. Hosted customer data is held in the UK region.

7. Payment, term & termination

Online subscriptions are billed annually in advance through Stripe and renew automatically unless cancelled before renewal. Either party may terminate for the other's material breach not cured within 30 days of written notice. On termination the Customer's access ends; CE will, on request within 30 days, make the Customer's stored run data available for export. Fees paid are non-refundable except where required by law.

8. General

These terms are governed by the laws of England and Wales, with the exclusive jurisdiction of its courts. No third-party rights. Neither party is liable for delay caused by events beyond its reasonable control. Open-data attributions (Elexon BMRS, NESO) are rendered in-product and flow down to any sub-licence.
